These Purchasing terms (AGB) apply to B2B services, custom products, and project-based work provided by Marph. Website use and online store purchases are governed by the separate Website Terms of Service.
1. Scope of application
These General Terms and Conditions apply to all offers, deliveries, and services provided by Marph, unless expressly agreed otherwise in writing. Conflicting or deviating terms of the purchaser shall not apply unless expressly accepted in writing by Marph.
2. Scope of supply
The scope of supply is limited to the services and products expressly described in the quote and any referenced appendices. Amendments or extensions of scope require written agreement by both parties.
3. Prices and VAT
All prices are stated in euros (EUR) and are exclusive of VAT unless expressly indicated otherwise. VAT shall be charged in accordance with Austrian VAT law or applicable exemptions and shall be shown on the invoice.
4. Validity of offers
Offers are valid for 30 days from the date of issue unless otherwise stated.
5. Payment terms
Unless otherwise agreed in writing, invoices are payable within 30 days from the invoice date without deduction. Payments shall be made by bank transfer to the account specified on the invoice. The purchaser shall bear any bank charges.
6. Delivery and transfer of risk
Delivery dates are indicative unless expressly agreed in writing. Delivery shall be made to the address specified in the quote. Risk transfers to the purchaser upon delivery.
7. Intellectual property rights
All intellectual property rights in the Marph methodology, formats, and materials remain the exclusive property of Marph, unless the service has been expressly sold with intellectual property rights.
Unless otherwise agreed in writing, the purchaser is granted a non-exclusive, non-transferable, non-sublicensable right to use the delivered materials internally for their intended purpose.
8. Confidentiality
The parties undertake to treat as confidential all non-public information obtained in connection with the contractual relationship and not to disclose such information to third parties, unless required by law or permitted under an applicable agreement.
9. Force majeure
Neither party shall be liable for delays or failures in performance resulting from events beyond its reasonable control, including but not limited to natural disasters, governmental measures, war, strikes, or supply chain disruptions. In such cases, performance obligations shall be suspended for the duration of the event.
10. Liability
Marph shall be liable only for damages caused by intent or gross negligence. In cases of slight negligence, Marph shall be liable only for personal injury. Any further liability is excluded to the extent permitted by Austrian law. Liability is in any case limited to the value of the respective order.
11. Cancellation and termination
In the event of cancellation after commencement of services, Marph is entitled to remuneration for services rendered up to the date of cancellation, as well as reimbursement of any non-recoverable costs incurred.
12. International organisations and UN agencies
Where the purchaser is an international organisation or UN agency, these AGB shall apply subject to the applicable privileges, immunities, and headquarters or host country agreements.
13. Governing law and jurisdiction
These AGB are governed by the substantive laws of Austria, excluding its conflict of law rules. The competent court at Marph’s registered office shall have exclusive jurisdiction, unless mandatory law provides otherwise.
